By accessing this website and/or engaging with our design consulting and lifestyle product services, you accept these terms and conditions in full. • "Client", "You", and "Your" refers to you, the person accessing our services and accepting the Company’s terms and conditions.
• "Services" refers to the entire range of offerings by Veridian Designs Ltd., including but not limited to Product Design & Development, Brand Identity & Strategy, Interior Space Planning, User Experience (UX) Design, Sustainable Design Solutions, Digital Prototyping, Supply Chain Management for Lifestyle Goods, Custom Furniture Design, Retail Experience Design, Homeware Collections, and Book Publishing Consultation for Design-led Content.
• "Platform" refers to our website, online content, and any associated digital presence where our Services are promoted or accessed.

2. Intellectual Property Rights

Unless otherwise stated, Veridian Designs Ltd. and/or its licensors own the intellectual property rights for all material on our platform and for our Services. All intellectual property rights are reserved. You may view and/or print pages from our platform for your personal use, subject to restrictions set in these terms and conditions.

You must not:

• Republish material from our platform.
• Sell, rent, or sub-license material from our platform.
• Reproduce, duplicate, or copy material from our platform.
• Redistribute content from Veridian Designs Ltd., unless content is specifically made for redistribution.

For design deliverables, ownership of intellectual property will be defined within individual service contracts or agreements with clients.

3. Service Engagements

All engagements for our Services, including but not limited to Product Design & Development, Interior Space Planning, and Custom Furniture Design, will be subject to a separate written agreement or proposal outlining the scope of work, deliverables, timelines, payment terms, and specific terms relevant to that project. Until such an agreement is signed, Veridian Designs Ltd. reserves the right to decline or defer any work.

4. Payment Terms

Payment terms for our Services will be stipulated in the individual service agreements. Unless otherwise specified, invoices are due upon receipt. Failure to pay may result in suspension of services or termination of the agreement. For the sale of homeware collections or other lifestyle products, payment must be made in full at the time of purchase through our designated payment gateway, if applicable.

5. Confidentiality

Veridian Designs Ltd. agrees to keep confidential any sensitive information provided by the Client for the purpose of carrying out the Services. Similarly, the Client agrees to keep confidential any proprietary information or trade secrets of Veridian Designs Ltd. encountered during the engagement.

6. Limitation of Liability

In no event shall Veridian Designs Ltd., nor any of its officers, directors, and employees, be held liable for anything arising out of or in any way connected with your use of our platform or Services, whether such liability is under contract, tort or otherwise, and Veridian Designs Ltd., including its officers, directors, and employees shall not be liable for any indirect, consequential, or special liability arising out of or in any way related to your use of this platform or our Services. Our total liability to you for any claim arising out of or in connection with these terms or the provision of our services shall not exceed the fees paid by you to Veridian Designs Ltd. for the specific service in question.

7. Indemnification

You hereby indemnify to the fullest extent Veridian Designs Ltd. from and against any and/or all liabilities, costs, demands, causes of action, damages, and expenses arising in any way related to your breach of any of the provisions of these Terms.

8. Severability

If any provision of these Terms is found to be unenforceable or invalid under any applicable law, such unenforceability or invalidity shall not render these Terms unenforceable or invalid as a whole, and such provisions shall be deleted without affecting the remaining provisions herein.

9. Variation of Terms

Veridian Designs Ltd. is permitted to revise these Terms at any time as it sees fit, and by using our platform or Services, you are expected to review these Terms on a regular basis. Any changes will be effective immediately upon posting to this page.

10. Assignment

Veridian Designs Ltd. is allowed to assign, transfer, and subcontract its rights and/or obligations under these Terms without any notification. However, you are not allowed to assign, transfer, or subcontract any of your rights and/or obligations under these Terms.

11. Entire Agreement

These Terms, together with any legal notices and disclaimers posted on our platform, constitute the entire agreement between Veridian Designs Ltd. and you in relation to your use of our platform and Services, and supersede all prior agreements and understandings.

12. Governing Law & Jurisdiction

These Terms will be governed by and interpreted in accordance with the laws of the United Kingdom, and you submit to the non-exclusive jurisdiction of the state and federal courts located in the United Kingdom for the resolution of any disputes.
